Venue Partner Terms

These Terms are an offer by SQUAD LLC (TIN 313301535) to legal entities and individual entrepreneurs that provide sports courts and pitches (the "Venue"). The Venue accepts them by signing the onboarding application or by activating a Venue cabinet. The parties may also sign a paper agreement on the same terms.
1. Subject
1.1. SQUAD provides the Venue with:
- listing of courts and training sessions on the Platform;
- online booking with prepayment;
- a schedule management panel;
- cabinets for the Venue's coaches;
- match and tournament tools;
- analytics.
1.2. The Venue provides courts and training sessions to Players in its own name. SQUAD is not a tenant, landlord or payment-collection agent of the Venue.
2. Settlements
2.1. Player payments are processed by the payment provider Atmos. At the moment of payment, the amount is split: the Venue's share is credited to the Venue's bank account and SQUAD's commission to SQUAD's account. To enable this, the Venue enters into an agreement with Atmos or joins one in the manner Atmos specifies.
2.2. SQUAD charges the Venue:
- a commission on each court booking paid through the Platform;
- a commission on each training session paid through the Platform;
- a monthly panel subscription per Venue, regardless of the number of courts and pitches.
2.3. Commission rates, the subscription price, any introductory period and other commercial terms are set out in a Tariff Appendix signed individually with each Venue, which forms an integral part of the agreement. Commissions are deducted automatically when the payment is split; the subscription is paid against SQUAD's invoice.
2.4. The Players' Service Fee belongs to SQUAD and is not part of the settlement with the Venue.
2.5. SQUAD gives at least 30 days' notice of any changes to the Tariff Appendix.
3. The Venue's coaches
3.1. The Venue may connect coaches who work with it to the Platform, and disconnect them, through its panel.
3.2. Sessions by the Venue's coaches are sold on the Platform as the Venue's service. Payment for a session is credited to the Venue as set out in Section 2.
3.3. The Venue settles with its coaches itself: it pays their remuneration and meets the related tax obligations. SQUAD has no financial relationship with coaches.
3.4. The Venue is liable to Players for its coaches' qualifications and for conducting sessions safely. It also ensures that its coaches follow the Community Guidelines.
4. Venue obligations
The Venue must:
- keep the schedule, prices, and descriptions of courts and sessions in the panel up to date;
- not sell offline any slots booked through SQUAD;
- ensure the court is available and safe at the paid time and meets sanitary and other requirements;
- hold all permits required for its activity;
- issue fiscal documents for its services as required by law;
- not redirect Players who came through SQUAD to payment outside the Platform;
- follow the Booking, Payment and Refund Rules, including giving a full refund when a cancellation is the fault of the Venue or its coach;
- use Players' data (name, phone) only to fulfil bookings, not share it with third parties, and not use it for advertising without the Player's consent.
5. SQUAD obligations
SQUAD will:
- keep the Platform and the Venue panel running;
- train the Venue's staff to use the panel;
- provide support at support@squadplayers.com;
- handle Player complaints together with the Venue.
6. Liability
6.1. The Venue is liable to Players for court condition, training sessions and safety. It indemnifies SQUAD against claims caused by its own actions or those of its coaches.
6.2. SQUAD is not liable for the Venue's lost profits or for outages of the payment provider or telecom operators.
7. Data
The Venue is an independent personal data operator for the Player data it receives through bookings. It is responsible for processing that data lawfully, including processing by its coaches.
8. Term and termination
The agreement is open-ended. Either party may terminate it on 30 days' notice. Bookings paid before the termination date will be honoured.
9. Miscellaneous
Governing law: the laws of the Republic of Uzbekistan. Disputes are heard by the economic court at SQUAD's location. The Tariff Appendix and any other individual terms prevail over these Terms to the extent they cover the same matters.
